Terms & Conditions.
1. About these terms
These terms apply to all work Loudfire (“we”, “us”) carries out for you (“the client”, “you”). They form a contract together with the proposal or quote you accept. If the two ever disagree, the proposal takes priority.
Our services are for businesses. By accepting a proposal you confirm you’re acting for business purposes.
2. Proposals and prices
- Every project starts with a written, fixed-price proposal that sets out what’s included.
- Proposals are valid for 30 days from the date we send them.
- All prices are in US dollars, and the price in your proposal is the price you pay.
- Work that isn’t in the proposal, such as extra pages, features or rounds of changes, is quoted separately before we start it.
3. Payment
- We accept USD bank transfer, EcoCash, InnBucks, Mukuru, cash, and card or PayPal. Invoices are due within 7 days.
- Care plans and monthly services are paid monthly in advance.
- If an invoice is overdue, we may pause work or suspend services we manage until it’s paid.
4. Timescales
Your proposal gives an estimated timeline. We work hard to keep to it, but it depends on getting content, feedback and approvals from you on time. If we’re waiting on you, the launch date moves accordingly.
If a project is on hold waiting for you for more than 60 days, we may treat it as complete and invoice the remaining balance. We’re happy to pick it back up later, which may need a new schedule.
5. Your responsibilities
- Provide the content, images, logins and information we ask for, on time.
- Make sure you own, or have permission to use, anything you give us, including text, photos, logos and fonts.
- Check the accuracy of all content, prices and legal information on your site before it goes live.
- Give one point of contact who can make decisions and approve work.
- Make sure your website meets any rules for your industry, and has its own privacy policy if it collects personal data.
6. Revisions and sign-off
Your proposal says how many rounds of revisions are included. A round is one consolidated set of feedback. Further changes, or changes to work you’ve already approved, are charged at our hourly rate.
Before launch we’ll ask you to review and approve the finished work. Once approved and live, you have 30 days of free support for bug fixes and minor tweaks.
7. Ownership
- Once you’ve paid in full, you own the final website, design files and content we create for you.
- Until then, all work remains ours, and we may take it offline or withhold files.
- Concepts and drafts you didn’t choose remain ours.
- Your website may use third-party themes, plugins, fonts and stock images. These are licensed to you under their own terms rather than owned outright.
- Your domain name is registered in your name wherever possible.
8. Hosting and third parties
Websites rely on services we don’t control, such as hosting companies, domain registrars, WordPress, plugins, payment providers and Google. We choose reputable providers, but we can’t be responsible for their downtime, price changes, security issues or changes to how they work.
Some plugins and services carry their own subscription costs. We’ll tell you about these before you commit.
9. Support and care plans
- Care plans run month to month and cover the work listed in your chosen plan.
- You can cancel with 30 days’ written notice. Payments already made aren’t refunded.
- Unused time or tasks don’t roll over to the next month.
- Work outside your plan, such as redesigns, new features or fixing problems caused by changes made by you or another developer, is quoted separately.
- Local SEO plans have the minimum term set out in your proposal.
10. SEO and results
We follow current best practice to help your website be found. Search rankings, traffic, enquiries and sales depend on factors we don’t control, including Google’s algorithms and your competitors, so we can’t guarantee specific positions or results.
11. Cancelling a project
You can cancel a project at any time by telling us in writing. The deposit isn’t refundable once work has started. If the work completed is worth more than the deposit, we’ll invoice for the difference at our hourly rate. We’ll hand over any finished work once all invoices are paid.
We may end a project if invoices go unpaid or if we can’t continue for reasons outside our control. If we do, we’ll refund any payment for work we haven’t done.
12. Liability
We take care with everything we build, but no website can be guaranteed to be error-free or always available. We’re not liable for loss of profits, business, data or revenue, or for indirect losses. Our total liability to you for any project is limited to the amount you’ve paid us for it.
Nothing in these terms limits liability that can’t be limited by law, such as for death or personal injury caused by negligence, or for fraud.
You agree to cover any claims made against us because of content or materials you supplied.
13. Portfolio and credit
We may show work we’ve done for you in our portfolio, on social media and in proposals, and include a small “Website by Loudfire” credit in your site’s footer. If you’d rather we didn’t, just let us know.
14. General
- We’ll treat your business information as confidential and handle personal data in line with our Privacy Policy.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- We may update these terms. Changes don’t affect projects already agreed.
- These terms are governed by the laws of Zimbabwe, and the courts of Zimbabwe have jurisdiction.
